1. Introduction

Welcome to Petromin Energy. These Terms & Conditions ("Terms") govern your access to and use of the Petromin Energy website, mobile applications, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services.

Petromin Energy is a wholly owned subsidiary of Petromin Holding, a Saudi-based company. These Terms are governed by the laws of the Kingdom of Saudi Arabia and comply with regulations set forth by the Ministry of Commerce and the Communications, Space & Technology Commission (CST/CITC).

2. Definitions

"Petromin Energy," "we," "our," "us" refers to Petromin Energy, its subsidiaries, affiliates, and authorized representatives.
"Services" includes fuel supply, EV charging, fleet management, automotive services, lubricants, convenience stores, and all digital platforms operated by Petromin Energy.
"User," "you," "your" refers to any individual or entity accessing or using our Services.
"Content" includes all text, images, videos, data, information, and materials available on our platform.
"Account" refers to the registered user profile created to access certain Services.

3. Acceptance of Terms

By accessing or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms that may apply to specific Services. If you are using our Services on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

4. Eligibility

To use our Services, you must:

Be at least eighteen (18) years of age or have the consent of a legal guardian.
Have the legal capacity to enter into binding contracts under Saudi law.
Not be located in any jurisdiction where the provision of our Services is prohibited.
Provide accurate, current, and complete information when creating an account or using our Services.

5. Account Registration & Security

Certain Services require you to create an account. You are responsible for:

Maintaining the confidentiality of your account credentials, including your username and password.
All activities that occur under your account, whether authorized by you or not.
Notifying us immediately of any unauthorized use of your account or any security breach.
Ensuring that the information you provide is accurate and kept up to date.

We reserve the right to suspend or terminate your account if we suspect unauthorized use, fraudulent activity, or violation of these Terms.

6. Services Description

6.1 Fuel Services

Petromin Energy provides high-quality fuel products including gasoline (91 and 95 octane), diesel, and premium fuel options at our network of service stations across the Kingdom of Saudi Arabia. Fuel grades and availability may vary by location.

6.2 EV Charging (Electromin)

Through our subsidiary Electromin, we provide electric vehicle charging solutions, including AC and DC fast charging stations. EV charging services are subject to availability and specific terms of use at each charging location.

6.3 Fleet Management

We offer comprehensive fleet management solutions including fuel management, fleet cards, vehicle tracking, and maintenance services. Fleet customers are subject to separate service agreements in addition to these Terms.

6.4 Automotive Services

Petromin Automotive, through our partnerships with Nissan, Stellantis, and Foton, provides vehicle sales, maintenance, and repair services. Automotive services are subject to the terms of the respective partner agreements.

6.5 Petromin Express & Auto Care

Our convenience stores (Petromin Express) and vehicle care centers (Petromin Auto Care) offer a range of products and services. Specific terms may apply to loyalty programs, promotions, and special offers.

6.6 Digital Services

Our website, mobile applications, and digital platforms provide access to service station locators, account management, payment processing, and customer support. Availability of digital features may be subject to technical limitations and maintenance periods.

7. User Obligations & Prohibited Conduct

When using our Services, you agree to:

Comply with all applicable Saudi laws and regulations, including but not limited to the Anti-Cyber Crime Law, E-Commerce Law, and CITC regulations.
Use our Services only for lawful purposes and in accordance with these Terms.
Provide accurate and truthful information in all interactions with us.
Respect intellectual property rights and not reproduce, distribute, or modify our content without authorization.

You are expressly prohibited from:

Using our Services for any fraudulent, illegal, or unauthorized purpose.
Attempting to gain unauthorized access to our systems, networks, or user accounts.
Interfering with the proper functioning of our Services, including introducing viruses, malware, or other harmful code.
Engaging in any activity that could damage, disable, overburden, or impair our infrastructure.
Scraping, data mining, or extracting content from our platforms without our written permission.
Posting or transmitting any content that is defamatory, offensive, discriminatory, or violates the rights of others.
Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.
Violating the privacy or data protection rights of other users or individuals.

8. Intellectual Property Rights

All content, trademarks, service marks, trade names, logos, and intellectual property displayed on our Services are the property of Petromin Energy, Petromin Holding, or their respective owners. Nothing in these Terms grants you any right, title, or interest in our intellectual property. You may not use our trademarks, logos, or branding materials without our prior written consent.

The Petromin Energy name, logo, and related marks are registered trademarks protected under Saudi trademark law and international conventions.

9. Pricing & Payments

9.1 Pricing

All prices for products and Services are listed in Saudi Riyals (SAR) and include applicable taxes as required by ZATCA regulations. Prices are subject to change without prior notice. Promotional offers are subject to specific terms and availability.

9.2 Payment Methods

We accept various payment methods including credit/debit cards, Mada, Apple Pay, fleet cards, and other payment methods as displayed at our stations and on our digital platforms.

9.3 Tax Invoices

As required by ZATCA (Zakat, Tax and Customs Authority), electronic tax invoices are issued for all transactions and can be obtained through our digital platforms or at our service stations.

9.4 Refunds & Disputes

Refund and dispute resolution procedures are handled in accordance with Saudi consumer protection laws and our internal policies. Please contact our customer service team at 800 442 0020 for any billing inquiries or disputes.

10. Limitation of Liability

To the maximum extent permitted by Saudi law, Petromin Energy, its subsidiaries, affiliates, directors, employees, and agents shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services.
Any loss of profits, revenue, data, or business opportunities.
Any damages resulting from service interruptions, system failures, or force majeure events.
Any content, products, or services provided by third-party partners or linked websites.
Any unauthorized access to or alteration of your data or transmissions.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under Saudi law.

11. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that:

Our Services will be uninterrupted, timely, secure, or error-free.
The results obtained from using our Services will be accurate or reliable.
Any errors in our Services will be corrected.

12. Indemnification

You agree to indemnify, defend, and hold harmless Petromin Energy, its subsidiaries, affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

Your use of our Services in violation of these Terms.
Your violation of any applicable law or regulation.
Your violation of any third-party rights, including intellectual property or privacy rights.
Any content or materials you submit or transmit through our Services.

13. Electronic Commerce Compliance (CITC)

In compliance with the Saudi E-Commerce Law and CITC regulations:

All commercial communications and transaction confirmations will be provided electronically via email or SMS.
We maintain records of all electronic transactions as required by law.
Our commercial registration information is displayed on our website and at our physical locations.
We provide clear information about product specifications, pricing, and delivery terms before purchase.
We comply with CITC requirements for unsolicited commercial communications and provide opt-out mechanisms for marketing messages.
Complaints regarding e-commerce transactions can be submitted through our customer service channels or through the CITC complaints platform.

14. Termination

We reserve the right to suspend or terminate your access to our Services at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

Your right to use our Services immediately ceases.
We may delete or deactivate your account and all related data, subject to legal retention requirements.
Any provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, and limitations of liability.

15. Governing Law & Dispute Resolution

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.

15.2 Amicable Resolution

15.3 Jurisdiction

If the dispute cannot be resolved amicably within thirty (30) calendar days, the dispute shall be referred to the competent courts of Jeddah, Saudi Arabia.

15.4 Consumer Complaints

Consumer complaints may also be submitted to the Ministry of Commerce through their official channels or to the Communications, Space & Technology Commission (CITC) for matters within their jurisdiction.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting the updated Terms on our website. We will notify you of material changes through our website or via email. Your continued use of our Services after any modifications constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.

18. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and Petromin Energy regarding your use of our Services, superseding any prior agreements or understandings, whether written or oral.
